Terms of Service

These Terms of Service govern your access to and use of MotoForge™, including MotoForge websites, waitlists, beta signup forms, demo pages, Forge Engine™ tools, dealer portal tools, CRM features, mobile app features, and related services. MotoForge is a product of UpSpark Ventures, LLC.

By accessing or using MotoForge, you agree to these Terms. If you do not agree, do not use the service.

MotoForge is designed to help riders, dealerships, service teams, shops, creators, and related businesses manage vehicle information, build cards, service history, customer connections, and branded digital experiences.

You agree to use MotoForge only for lawful, authorized, and appropriate purposes.

Certain features may require an account, login, invitation, dealer connection, or approved access. You are responsible for keeping your login credentials secure and for activity that occurs under your account.

We may limit, suspend, or terminate access if we believe an account is being misused, accessed without authorization, used to violate these Terms, or creating risk for MotoForge, users, dealers, or connected organizations.

Dealers, shops, and organizations may receive access to dealer portal, CRM, service update, customer connection, build card, or white-label features. Organizations are responsible for ensuring that their team members use MotoForge appropriately and have authorization to access customer or rider information.

MotoForge may modify, limit, pause, or discontinue pilot, beta, dealer, white-label, or internal CRM features at any time.

Users may submit information, photos, vehicle details, build details, service history, notes, business information, dealership information, and other content. You are responsible for the content you submit and confirm that you have the rights and permissions needed to submit it.

By submitting content, you grant MotoForge a limited right to host, display, process, store, and use that content to provide and improve the service.

You agree not to:

• Use MotoForge for unlawful, abusive, deceptive, or harmful activity.
• Attempt to access accounts, pages, data, APIs, or systems without authorization.
• Interfere with, disrupt, reverse engineer, scrape, overload, or compromise MotoForge systems.
• Upload malicious code, spam, misleading content, or content that infringes another party’s rights.
• Misrepresent your identity, organization, affiliation, inventory, vehicle, dealership, or business.

MotoForge may offer beta, demo, pilot, test, or early-access features. These features may be incomplete, changed, removed, interrupted, or contain errors. Beta and pilot access is provided without any guarantee of availability, performance, or future inclusion in the product.

Some MotoForge features may require payment, subscription, pilot agreement, custom contract, or written approval. Any separate written agreement, order form, invoice, or statement of work will control if it conflicts with these general Terms.

MotoForge, Forge Engine, related names, logos, designs, software, workflows, interfaces, and platform features are owned by UpSpark Ventures, LLC or its licensors. You may not copy, reproduce, resell, or exploit MotoForge without written permission.

MotoForge may rely on third-party services for hosting, authentication, database storage, analytics, email, payment, communication, or other functionality. We are not responsible for third-party services outside our control.

MotoForge is provided on an “as is” and “as available” basis. We do not guarantee that the service will be uninterrupted, error-free, secure, or meet every user, dealer, business, or technical need.

To the fullest extent permitted by law, UpSpark Ventures, LLC and MotoForge will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, business interruption, or loss of goodwill.

We may suspend or terminate access to MotoForge at any time if we believe these Terms have been violated, access is no longer authorized, payment or agreement requirements are not met, or use of the service creates risk.

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of MotoForge after changes means you accept the updated Terms.
